CALLENDOC HEALTHCARE PROFESSIONAL SERVICE AGREEMENT & TERMS OF USE

This Service Agreement ("Agreement") is between CALLENDOC ("Service Provider," "we," "us," "our") and you as a registered healthcare professional ("Healthcare Professional," "Provider," "you," "your").
By accessing or using Callendoc services as a healthcare professional, you agree to be bound by all terms in this Agreement.
1. DEFINITIONS & INTERPRETATION
1.1 KEY TERMS
- Service/Platform: The online telemedicine and digital healthcare platform at www.callendoc.com
- Professional Account: Your registered healthcare professional user account
- Healthcare Professional: You - a licensed, registered doctor, dentist, psychologist, physiotherapist, or other regulated healthcare professional
- Patient/User: Individuals consulting with you via the Platform
- Consultation/Appointment: A video, voice, or text-based communication between you and a Patient
- Professional Data: Your credentials, registration information, consultation records, and personal data
2. SERVICE DESCRIPTION
2.1 WHAT IS CALLENDOC FOR HEALTHCARE PROFESSIONALS?
Callendoc is an online platform enabling licensed healthcare professionals to offer telemedicine consultations to patients via video, voice, or text communications.
Services Include:
- Professional account creation, verification, and management
- Patient discovery and booking management
- Secure consultation sessions (video/voice/text)
- Prescription referral capabilities (where permitted)
- Secure consultation records management
- Payment processing and fee management
- Professional support and resources
2.2 PROFESSIONAL RESPONSIBILITY
As a healthcare professional on our Platform, you acknowledge:
- You are a licensed healthcare professional in good standing
- You maintain professional indemnity insurance
- You comply with professional conduct standards of your regulatory body
- You provide appropriate standard of care to patients
- You maintain patient confidentiality and comply with healthcare laws
- You are responsible for all clinical decisions and diagnoses you provide
- Online consultations have inherent limitations (no physical examination)
3. PROFESSIONAL ACCOUNT & ACCESS
3.1 ACCOUNT CREATION & VERIFICATION
To register as a healthcare professional, you must:
- Provide valid professional registration credentials
- Complete background verification
- Demonstrate current professional indemnity insurance
- Agree to background checks
- Be in good standing with your professional regulatory body
We reserve the right to reject applications or verify credentials with regulatory bodies (GMC, GDC, HCPC, etc.).
3.2 PROFESSIONAL PROFILE
Your professional profile includes:
- Full name and verified credentials
- Professional registration number
- Areas of specialization
- Professional biography and qualifications
- Consultation fees and availability
- Professional photograph
You must maintain only ONE professional account. Multiple or duplicate accounts will be deactivated immediately.
3.3 ACCOUNT SECURITY
- You are responsible for maintaining password confidentiality
- You are responsible for all activities using your credentials
- Do not share account access with others
- Report unauthorized access immediately
3.4 ACCOUNT SUSPENSION OR TERMINATION
We may suspend or terminate your professional account for:
- Loss of professional registration or license
- Professional conduct violations
- Breach of this Agreement
- Non-payment or fraud
- Regulatory complaints or disciplinary action
- Violation of healthcare laws
4. INTELLECTUAL PROPERTY & CONTENT
4.1 CALLENDOC'S INTELLECTUAL PROPERTY
All Platform content, design, code, functionality, and trademarks are owned by Callendoc and protected by international copyright law.
You may:
- Use the Platform to provide consultations
- View your consultation records
- Create and manage your professional profile
You may NOT:
- Reproduce or copy Platform content
- Use Platform for commercial purposes outside of agreed services
- Reverse engineer or decompile software
- Create derivative works
- Remove copyright or trademark notices
4.2 CONSULTATION RECORDS & PATIENT DATA
- You retain professional ownership of consultation notes you create
- Patient data is shared under confidentiality agreements
- You must comply with professional record-keeping standards
- Callendoc stores consultation records securely per retention laws
5. LIMITATION OF LIABILITY & DISCLAIMERS
5.1 YOUR PROFESSIONAL RESPONSIBILITY
You acknowledge:
- You are solely responsible for clinical decisions and diagnoses
- You are responsible for the quality of care provided
- You maintain professional indemnity insurance
- You comply with professional conduct standards
- Callendoc does not supervise your consultations
- Callendoc does not review or approve your clinical decisions
5.2 CALLENDOC'S LIMITED LIABILITY
CALLENDOC IS A PLATFORM PROVIDER, NOT A HEALTHCARE PROVIDER.
Callendoc does NOT:
- Provide medical advice or clinical supervision
- Review or approve your diagnoses or treatment plans
- Take responsibility for your clinical decisions
- Guarantee consultation outcomes
- Provide professional indemnity insurance
5.3 LIABILITY LIMITATIONS
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Callendoc shall NOT be liable for:
- Your professional negligence or misconduct
- Patient complaints about your clinical care
- Losses from service interruptions or technical issues
- Third-party actions or claims
- Damages exceeding fees paid in past 12 months
6. CONSULTATION & APPOINTMENT TERMS
6.1 APPOINTMENT AVAILABILITY
- You control your own schedule and availability
- You set your own consultation fees
- You may accept or decline consultation requests
- You are responsible for timely responses to booking requests
6.2 CONSULTATION CONDUCT
Professional Standards:
- Provide appropriate standard of care
- Maintain professional demeanor
- Respect patient confidentiality
- Decline consultations outside your competence
- Report serious concerns to appropriate authorities
Conduct Requirements:
- No abusive or inappropriate behavior toward patients
- Maintain professional ethics and boundaries
- Comply with professional conduct standards
- Violation grounds for account suspension/termination
6.3 CANCELLATIONS & RESCHEDULING
Your Cancellation Policy:
- You may cancel consultations with reasonable notice
- Cancellation within 2 hours of appointment incurs no penalty
- Pattern of cancellations may result in account action
- Refunds to patients handled per our refund policy
Rescheduling:
- You may reschedule consultations based on availability
- Rescheduling available up to 2 hours before appointment
- Patient must approve rescheduling
6.4 RECORDINGS & RECORDS
- Consultations may be recorded (where permitted by law)
- Recordings stored in secure patient records
- Recordings used only for clinical and training purposes (with consent)
- You maintain copies per professional standards
7. PAYMENT & FEE TERMS
7.1 FEES & PAYMENT
Fee Structure:
- You set your consultation fees
- Callendoc retains a percentage as platform fee (disclosed in terms)
- Net fees transferred to your registered banking details
- Payments processed for completed consultations only
Payment Processing:
- Patients pay Callendoc; Callendoc distributes your fees
- Payments processed through secure payment processors
- Your banking details encrypted and secure
- Regular payment distribution to your account
7.2 REFUND POLICY
You understand:
- Refunds issued to patients for cancellations 24+ hours prior
- Your fee retained if patient cancels within 24 hours
- No-shows result in patient fee retention
- Refund disputes handled per our terms
7.3 PAYMENT TERMS
- Payments transferred weekly or bi-weekly
- Invoices/statements available in your account
- Tax reporting responsibility is yours
- You are responsible for all applicable taxes
8. PROFESSIONAL STANDARDS & COMPLIANCE
8.1 REGULATORY COMPLIANCE
You must maintain:
- Valid professional registration with your regulatory body (GMC, GDC, HCPC)
- Current professional indemnity insurance (minimum coverage requirements)
- Compliance with professional conduct standards
- Compliance with healthcare laws and regulations
- Professional ethics and patient confidentiality
8.2 CREDENTIAL VERIFICATION
You authorize Callendoc to:
- Verify your registration with professional bodies
- Conduct background checks
- Verify professional indemnity insurance
- Conduct periodic re-verification
- Remove you from Platform if credentials lapse
8.3 PROFESSIONAL CONDUCT COMPLAINTS
If serious professional conduct concerns arise:
- We may investigate complaints
- We may suspend your account pending investigation
- We may report to regulatory bodies if required
- Serious misconduct results in termination
9. PRIVACY & CONFIDENTIALITY
9.1 YOUR DATA PROTECTION OBLIGATIONS
- Maintain patient confidentiality
- Comply with UK GDPR and Data Protection Act 2018
- Secure patient data in your systems
- Report data breaches immediately
- Use patient data only for healthcare purposes
9.2 PATIENT DATA ACCESS
- You access patient information through Platform
- You are responsible for secure handling
- Patient data terminated if account closed
- No patient data downloads or transfer outside Platform
10. TERMINATION
10.1 TERMINATION BY YOU
You may terminate your professional account anytime by:
- Email notification to: [email protected]
- 30 days notice recommended
- Account access ends on termination date
- No refunds for prepaid fees
- Your consultation records retained per healthcare laws
10.2 TERMINATION BY CALLENDOC
We may terminate for:
- Loss of professional registration or license
- Breach of professional conduct standards
- Violation of this Agreement
- Regulatory complaints or disciplinary action
- Fraud or non-payment
- Serious misconduct
Effect of Termination:
- Immediate loss of Platform access
- Professional profile removal
- No refunds of platform fees
- Pending consultations addressed
- Consultation records retained per law
11. MODIFICATIONS TO TERMS
Callendoc may modify this Agreement:
- Posting updated terms on Platform
- Email notification of material changes
- 30 days notice before changes take effect
Continued use constitutes acceptance. You may terminate if you do not accept changes.
12. APPLICABLE LAW & JURISDICTION
Governing Law: Laws of England and Wales
Jurisdiction: Courts of England and Wales
Applicable Laws:
- UK GDPR and Data Protection Act 2018
- Professional conduct standards (GMC, GDC, HCPC)
- Healthcare laws and regulations

By registering as a healthcare professional on Callendoc, you:
- Acknowledge reading and understanding this Agreement
- Acknowledge you are a licensed healthcare professional in good standing
- Acknowledge professional responsibility for clinical decisions
- Acknowledge limitations of telemedicine (no physical examination)
- Agree to maintain professional standards and conduct
- Agree to comply with all healthcare laws and regulations
- Agree to be bound by all terms
